      Preparing and filing annual return to the Companies Registry

      A company is required to hold an annual general meeting, and file Annual Return with the Hong Kong Companies    Registry. In general, a company´s annual general meeting is for discussing approval of audited account,       declaration of dividend and appointment of directors and auditors.

     The information contained in the Annual Return include the address of registered office, paid up value of share       capital, mortgages and charges, share holding of each shareholders, details of directors and company secretary. A    company must submit the Annual Return to the Companies Registry in each anniversary of the date of       incorporation.

      A company must have a registered office in Hong Kong. Whenever there is an official correspondence or notice       sending to the registered office, it serves as a sufficient notice to the company.

      Handling transfer of shares, change of directors and company secretary

      There is no statutory restriction to the amount of authorized capital. Director(s) can take the liberty to act for the       Company to allot shares in cash or in kind. The number of shares should be specified with value and type of       currency. If clients require changes of company´s director, shareholder or registered office, Sammy Chan & Co.       can prepare the required documents for client´s signature and submission to the Companies Registry.
